Terms of Service

1. Acceptance of Terms

By accessing or using LoyaltyHero ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service. These terms are governed by the laws of the Republic of the Philippines.

2. Merchant Relationship Disclaimer

LoyaltyHero is a technology platform that enables merchants to create and manage QR-based loyalty programs. We are not a party to any transaction between a merchant and their customers. Merchants are solely responsible for:

  • The accuracy of rewards, terms, and redemption conditions advertised to customers.
  • Compliance with consumer protection laws (Republic Act No. 7394) and DTI regulations.
  • Handling customer complaints and disputes arising from their loyalty programs.
  • Ensuring their own use of the platform complies with the Data Privacy Act when processing customer data.

LoyaltyHero is not liable for any loss, damage, or claim arising from a merchant's loyalty program decisions.

3. Prohibited QR Abuse Policies

The following actions are strictly prohibited and will result in immediate account suspension without refund, and may be reported to relevant authorities:

  • QR spoofing / cloning: Reproducing, copying, or distributing another merchant's QR codes to fraudulently collect stamps.
  • Automated scanning: Using bots, scripts, or automated tools to simulate QR scans and inflate stamp counts.
  • Reward fraud: Manipulating stamp counts, bypassing redemption logic, or exploiting platform bugs to obtain unearned rewards.
  • Unauthorized resale: Selling, transferring, or monetizing loyalty stamps or rewards outside of the intended merchant–customer relationship.
  • Phishing: Creating fraudulent QR codes that mimic legitimate merchant codes to harvest customer data.
  • Harassment or abuse: Using the platform to harass, stalk, or collect personal data for purposes other than the loyalty service.

4. Account Eligibility

Merchant accounts require a valid Philippine mobile number or email address. You must be at least 18 years of age and have the legal authority to operate the business you register. Customer accounts require only a valid contact identifier; no age verification is performed for basic stamp collection.

5. Service Availability

LoyaltyHero targets 99.5% monthly uptime but does not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for losses resulting from downtime, connectivity issues, or force majeure events.

6. Fees and Billing

The current free tier is available at no cost. Paid plans, if introduced, will be announced with at least 30 days' notice. All fees are in Philippine Peso (PHP) and are non-refundable except as required by law.

7. Intellectual Property

All platform software, design assets, and trademarks are owned by or licensed to LoyaltyHero. You may not copy, reproduce, or create derivative works without written permission. Merchant-uploaded content (logos, program names) remains the merchant's property; you grant us a license to display it within the Service.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, LoyaltyHero's total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may delete your account at any time from the app settings. We may suspend or terminate your account for breach of these Terms, with or without notice depending on severity. Upon termination, your right to use the Service ceases immediately, and data is handled per our Privacy Policy.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the proper courts of Makati City, Metro Manila.

11. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance.
